Terms & Conditions

By booking a session, submitting payment, or signing a project contract, you agree to the terms outlined below.
1. Engagement & Payment
I offer both hourly and flat-rate pricing depending on the scope of work.
Strategy sessions are billed hourly unless otherwise agreed upon.
For larger projects (including website design and development), a 50% deposit is required upfront to reserve your spot, with the remaining 50% due upon completion.
Invoices are due within 30 days of receipt unless otherwise arranged in writing.
Late payments may incur a 1.5% monthly service charge.
2. Rescheduling & Cancellations
I ask for at least 24 hours' notice to cancel or reschedule a session. Missed or last-minute cancellations (within 24 hours) will be charged in full. My time is intentionally reserved for you—thank you for respecting it.
3. Scope of Work
Strategy sessions include:
Creative brainstorming
Brand positioning
Content and visibility planning
Directional support for marketing, storytelling, or growth
Website and digital projects include:
Platform migration and setup
Custom design and development
Content strategy implementation
Technical integrations
Training and support as specified in project agreement
What's not included: Full implementation beyond specified scope unless specifically agreed upon in advance.
Additional Notes:
Strategy sessions may include a written summary or key takeaways. Additional revisions, feedback rounds, or follow-up support may be scoped separately.
Prepaid sessions or hour blocks must be used within 60 days of purchase unless otherwise agreed. Unused hours do not roll over automatically.
If a project is paused for more than 14 days without communication, a reactivation fee may apply to reschedule and reinitiate work.
4. Project Timeline & Deliverables
Delivery timelines are estimates and may be affected by client feedback cycles or unforeseen circumstances.
Client has 5 business days to review deliverables and request revisions. Failure to respond within this timeframe constitutes acceptance and allows the project to proceed to the next phase.
Revision limits apply as specified in individual project agreements:
Strategy sessions: Up to 2 rounds of revisions on written deliverables
Video projects: Up to 3 rounds of revisions
Website and digital projects: Up to 3 major revision cycles during design phase, 2 rounds during development phase
Major scope changes mid-project may require additional time and cost adjustments.
5. Project Pauses & Reactivation
Prepaid sessions or hour blocks must be used within 60 days of purchase unless otherwise agreed. Unused hours do not roll over automatically.
If a project is paused for more than 14 days without communication, a reactivation fee of 10% of remaining project balance may apply to reschedule and reinitiate work.
Strategy sessions may include a written summary or key takeaways. Additional revisions, feedback rounds, or follow-up support may be scoped separately.
6. Communication & Boundaries
I respond to messages Monday–Friday during standard business hours (CST).
For longer engagements, we'll use a shared workspace or document to track progress and next steps.
Please allow up to 48 hours for thoughtful replies outside of scheduled calls.
7. Confidentiality & Brand Trust
All strategy sessions and client materials are treated as strictly confidential. I will never share your brand, strategy, or content—verbally or in writing—without your explicit permission. You're welcome to request an NDA if needed.
8. Intellectual Property & Creative Ownership
My frameworks, methodologies, and training content remain my intellectual property.
For strategy and consulting work: Materials and ideas shared during our sessions are intended for your internal use only. Please do not reuse, distribute, or replicate my original frameworks, slides, or documents without written permission.
For website and digital development work: Upon final payment, custom website design, content, and development work become your property as outlined in the project agreement. I retain rights to general methodologies, frameworks, design approaches, and code libraries for future use with other clients.
For all work: Client-provided content, branding materials, and business information remain the client's property.
8a. Educational Tools, Templates & Resources
All educational materials—including brand voice quizzes, caption libraries, content templates, social media guides, training materials, checklists, worksheets, and similar resources—are provided for informational and organizational purposes only.
These are not professional services. Educational tools and templates do not constitute legal, financial, compliance, or professional advice. They are designed to help you work more efficiently, not to replace professional consultation.
Your responsibilities:
Verify that all content, captions, or materials align with applicable laws, industry regulations, and your organization's policies before use
Customize templates to fit your specific situation—these are starting points, not final-use content ready for publication
Obtain any required approvals from your broker, compliance officer, legal counsel, or other relevant authority before publishing or implementing any materials
Compliance-focused resources (including the Alabama Real Estate Agent Caption Library):
Templates designed with regulatory considerations in mind reflect publicly available regulations and best practices as of the date specified within the resource. However:
Regulations change frequently and vary by jurisdiction
I am not a lawyer, compliance officer, or regulatory authority
I do not guarantee compliance with any regulatory body, including but not limited to the Alabama Real Estate Commission (AREC), National Association of Realtors (NAR), Fair Housing Act, FTC, TCPA, or industry-specific advertising requirements
Use educational resources as researched starting points. You remain solely responsible for ensuring compliance with current laws and obtaining professional guidance where necessary.
Indemnification:
By using educational tools and templates, you agree to indemnify and hold harmless Dr. Stephanie Dean Design & Research and TouchstoneOS™ from any claims, damages, or liabilities arising from your use, modification, or publication of materials provided.
9. Technical Specifications & Compatibility
Video deliverables are provided in standard MP4 format unless otherwise specified.
Website deliverables include source files, login credentials, and documentation as specified in project agreement.
I am not responsible for technical issues on your end (playback problems, device compatibility, hosting issues after delivery, etc.) or third-party platform changes that affect deliverables after project completion.
File formats and specifications will be confirmed during project kickoff.
10. Limitation of Liability
Services are provided "as-is." I make no warranties regarding results or outcomes.
My total liability is limited to the amount paid for services.
I am not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits or business opportunities.
11. Force Majeure
I am not responsible for delays or inability to perform due to circumstances beyond my control, including but not limited to natural disasters, government actions, internet outages, or other unforeseeable events.
12. Right to Decline or End Work
I reserve the right to decline or discontinue work if the scope changes significantly, communication breaks down, or values become misaligned. Any outstanding billable work will be invoiced accordingly.
13. Dispute Resolution
Governing Law: These terms are governed by the laws of the State of Alabama.
Disputes will first be addressed through good-faith negotiation. If resolution cannot be reached, disputes will be resolved through binding arbitration in Birmingham, Alabama.
14. Modifications
These terms may be updated periodically. Clients will be notified of significant changes, and continued engagement constitutes acceptance of revised terms.
